Overview

These Terms and Conditions ("Agreement") govern your use of all websites, applications, and services operated by Hotspan Meds, LLC ("Hotspan Meds," "we," "us," or "our"), including meds.hotspan.com and any associated intake or patient portal URLs. By accessing or using our Services, you agree to be bound by this Agreement in full.

Hotspan Meds is contemplated for specific non-emergency medical conditions. If you believe you are experiencing a medical emergency, dial 911 or seek immediate in-person emergency care.

This Agreement is governed by the laws of the State of Delaware. Our registered address is: Hotspan Meds, LLC, c/o Hotspan, United States.

Our Services

Hotspan Meds provides an online telehealth platform that connects patients with independent, US-licensed healthcare providers. Our services include:

• Online medical consultations and asynchronous physician review
• Prescription issuance by independent licensed providers where medically appropriate
• Pharmacy coordination and compounded medication fulfillment through licensed compounding pharmacies
• Ongoing patient monitoring and care management
• Educational and informational health content

Compounded medications prescribed through the platform are prepared in FDA-registered compounding pharmacies operating under applicable federal and state laws. Compounded medications are not FDA-approved drug products, though they are prepared in FDA-regulated facilities.

Eligibility

To use our Services, you must:

• Be at least 18 years of age
• Be a resident of a US state in which Hotspan Meds operates
• Have a valid shipping address within the United States
• Not be prohibited from receiving the applicable services under applicable law
• Provide accurate, complete, and truthful information during the intake process

Hotspan Meds reserves the right to decline services to any individual at its sole discretion. Medical eligibility is determined solely by the independent licensed provider reviewing your case.

Accounts & Registration

You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to notify us immediately of any unauthorized use at support@meds.hotspan.com. Hotspan Meds is not liable for losses resulting from unauthorized account access where you failed to safeguard your credentials.

You may not create accounts on behalf of another person without their explicit consent. Creating multiple accounts to circumvent a medical disqualification is strictly prohibited and may result in permanent account termination and forfeiture of any fees paid.

Subscription Services

Most Hotspan Meds treatment programs are structured as subscription services ("Subscription Services"). Your membership begins when you complete the intake form and your payment is processed. The Subscription Services include access to licensed providers, medications where appropriate, and ongoing clinical support.

If you are medically disqualified by our physician for any medical reason, you will receive a full refund of any amount charged. If you are not disqualified and choose to cancel after medications have been dispensed, standard cancellation terms apply (see our Cancellation and Refund Policy).

Subscriptions automatically renew on the billing cycle indicated at signup unless cancelled in advance. You may cancel at any time by contacting support@meds.hotspan.com or through your patient portal.

Payment & Billing

By providing payment information, you authorize Hotspan Meds to charge your payment method for the subscription amount at the frequency indicated at signup. All charges are in US dollars. We use industry-standard encryption and PCI-compliant payment processors to protect your payment information.

If a payment fails, we may attempt to reprocess the charge. Continued failure to pay may result in suspension or termination of your Subscription Services. Hotspan Meds is not responsible for fees charged by your bank or card issuer.

Prices are subject to change with 30 days' advance notice to your registered email address. Continued use of the Services after a price change constitutes acceptance of the new pricing.

Medical Disclaimer

The content on Hotspan Meds is for informational purposes only and does not constitute medical advice. It is not a substitute for professional medical consultation, diagnosis, or treatment from a licensed provider.

Treatment outcomes vary significantly between individuals. Hotspan Meds makes no guarantee of results or effectiveness. Weight loss, hormone levels, hair regrowth, skin improvement, and other outcomes depend on individual physiology, adherence to protocol, and other factors outside our control.

Protected Health Information

Hotspan Meds handles your Protected Health Information (PHI) in accordance with the Health Insurance Portability and Accountability Act (HIPAA). Our full privacy practices are described in our Notice of Privacy Practices and Privacy Policy.

By using our Services, you consent to the collection, use, and disclosure of your PHI as necessary to provide you with medical care, coordinate treatment with pharmacies, process payments, and comply with applicable laws.

Intellectual Property

All content on the Hotspan Meds platform — including text, graphics, logos, icons, images, audio, video, and software — is the property of Hotspan Meds, LLC or its licensors and is protected by US and international intellectual property laws. You may not reproduce, distribute, modify, create derivative works of, or exploit any content without our express written permission.

Prohibited Conduct

You agree not to:

• Provide false, misleading, or incomplete information in your intake or account
• Attempt to obtain prescriptions for medications you intend to resell or transfer to another person
• Use the platform to obtain medications for recreational or non-therapeutic purposes
• Circumvent medical disqualifications through multiple accounts or false information
• Interfere with or disrupt the operation of our platform or servers
• Attempt to reverse-engineer, decompile, or extract source code from our platform
• Use automated tools, bots, or scrapers to access or collect data from our platform
• Violate any applicable local, state, federal, or international law

Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, HOTSPAN MEDS, ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, PARTNERS, AND LICENSORS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, GOODWILL, OR OTHER INTANGIBLE LOSSES, ARISING FROM YOUR USE OF OR INABILITY TO USE THE SERVICES.

OUR TOTAL LIABILITY TO YOU FOR ALL CLAIMS ARISING FROM OR RELATING TO THE SERVICES SHALL NOT EXCEED THE TOTAL AMOUNT PAID BY YOU TO HOTSPAN MEDS IN THE THREE MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM.

SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OF CERTAIN WARRANTIES OR LIMITATION OF LIABILITY, SO SOME OF THE ABOVE LIMITATIONS MAY NOT APPLY TO YOU.

Indemnification

You agree to indemnify, defend, and hold harmless Hotspan Meds, LLC and its officers, directors, employees, agents, and licensors from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or in any way connected with: (a) your access to or use of the Services; (b) your breach of this Agreement; (c) your violation of any third-party right, including any privacy, intellectual property, or other proprietary right; or (d) any claim that your content or conduct caused damage to a third party.

Mandatory Arbitration

ANY DISPUTE, CLAIM, OR CONTROVERSY ARISING OUT OF OR RELATING TO THIS AGREEMENT OR THE SERVICES — INCLUDING THE DETERMINATION OF THE SCOPE OR APPLICABILITY OF THIS AGREEMENT TO ARBITRATE — SHALL BE DETERMINED BY BINDING ARBITRATION BEFORE A SINGLE ARBITRATOR, ADMINISTERED BY THE AMERICAN ARBITRATION ASSOCIATION (AAA) UNDER ITS CONSUMER ARBITRATION RULES.

The arbitration shall be conducted in English. The seat of arbitration shall be in the State of Delaware. The arbitrator's award shall be final and binding and may be entered as a judgment in any court of competent jurisdiction. You agree that any arbitration shall be conducted in your individual capacity only and not as a class action.

Exceptions: Either party may seek injunctive or other equitable relief in a court of competent jurisdiction to prevent irreparable harm pending arbitration. Claims of less than $10,000 may be brought in small claims court.

Class Action Waiver

YOU AND HOTSPAN MEDS AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN YOUR OR ITS INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS OR REPRESENTATIVE PROCEEDING. If this class action waiver is found unenforceable, the entire arbitration provision shall be null and void, and any claims shall proceed in court.

Changes to Terms

We reserve the right to modify these Terms at any time. Changes will be effective upon posting to the platform. We will provide at least 30 days' advance notice by email for material changes. Your continued use of the Services after notice constitutes acceptance of the updated Terms.

Governing Law

This Agreement is governed by the laws of the State of Delaware, without regard to conflict of law principles. Any legal action not subject to mandatory arbitration shall be brought exclusively in the state or federal courts located in Delaware.
